These terms apply to partners, resellers, and integration providers who collaborate with Whatsmsg to deliver services to end-users.
1. Definition of Vendor
A Vendor is any authorized individual or company that resells, integrates, or provides consultation for Whatsmsg services to third parties.
2. Authorization & Representation
Vendors must have explicit written approval to represent or resell Whatsmsg services.
Misrepresentation of Whatsmsg’s brand, features, or commitments is strictly prohibited.
3. Compliance Obligations
Vendors must:
Ensure end-user compliance with WhatsApp's official terms and applicable laws.
Protect the privacy and security of any customer or user data they process.
Avoid integrations or modifications that could harm Whatsmsg’s systems or reputation.
4. Use of Branding & Assets
Logos, screenshots, and marketing materials may only be used with prior written permission.
If services are white-labeled or co-branded, the label "Powered by Whatsmsg" must be clearly displayed.
5. Support & Responsibility
Vendors are the first point of contact for their clients’ support requests.
Technical issues must be filtered and verified before being escalated to Whatsmsg.
6. Termination & Auditing
Whatsmsg reserves the right to terminate the vendor relationship at any time for policy breaches.
Vendors may be audited to verify compliance with these terms and technical integrity.
7. Liability & Indemnification
Vendors are fully responsible for any legal claims, damages, or violations resulting from their clients' misuse. Whatsmsg is not liable for vendor-side or client-side violations.
8. Governing Law
These terms are governed by the laws of [Insert Country/Jurisdiction]. Legal disputes will be handled in the courts of [Insert City/Country].
